RILEY, Circuit Judge. E. Rebecca Case, bankruptcy trustee (Trustee) for Tri-River Trading, L.L.C. (Tri-River), appeals the decision of the Bankruptcy Appellate Panel (BAP) reversing the bankruptcy court and granting declaratory judgment in favor of Jody De-Bold (DeBold). For the reasons that follow, we affirm the decision of the BAP. I. BACKGROUND
